Hotel Supplier Terms & Conditions

1. Parties and Definitions

This Agreement is entered into between Ventur3, LLC, a Washington limited liability company ("Ventur3," "we," "us," or "our"), and the hotel, resort, venue, or hospitality property that registers on the platform ("Hotel Supplier," "you," or "your").

2. Directory Ownership and Listing Rights

2.1 Ventur3 Ownership of the Directory

The Directory — including all Listings, data structures, property records, and aggregated content contained therein — is the sole and exclusive property of Ventur3, LLC. Hotel Suppliers acknowledge and agree that their participation on the Platform does not create any ownership interest, proprietary right, or claim in or to the Directory or any Listing, including their own.

2.2 Hotel Supplier Content License

By submitting content to the Platform (including photos, descriptions, room specifications, menus, and attachments), Hotel Suppliers grant Ventur3 a perpetual, irrevocable, royalty-free, worldwide license to use, display, reproduce, modify, and distribute such content as part of the Directory and Platform, including after the Hotel Supplier's account has been deactivated or terminated.

2.3 Ventur3 Right to Deactivate

Ventur3 reserves the absolute right to deactivate, suspend, modify, or remove any Hotel Supplier's Listing or account at any time, with or without cause and with or without notice, at Ventur3's sole discretion. Deactivation of an account does not remove the underlying Listing record from the Directory, which remains a Ventur3 platform asset.

2.4 No Obligation to Maintain Listing

Ventur3 is not obligated to maintain any Hotel Supplier's Listing in active status, to distribute any RFP to any particular Hotel Supplier, or to continue making the Platform available in its current form.

3. Platform Access and Free Listing

3.1 Free Access

Creating and maintaining a Hotel Supplier Listing on the Platform is provided at no charge. Receiving and responding to RFPs submitted through the Platform is free of charge. Ventur3 does not charge Hotel Suppliers a platform fee for listing or for RFP access.

3.2 Paid Features

Ventur3 may offer optional Paid Features including enhanced listing visibility, marketing placement, or additional platform tools. Any Paid Features will be clearly identified and subject to separate pricing terms. Use of Paid Features is entirely optional and does not affect a Hotel Supplier's ability to receive or respond to RFPs.

3.3 Account Registration

To access the Platform, Hotel Suppliers must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Ventur3 immediately at support@ventur3.com of any unauthorized use of your account.

3.4 Listing Accuracy

You are solely responsible for ensuring that all information you contribute to your Listing is accurate, current, and not misleading. Ventur3 reserves the right to edit, correct, or supplement Listing content at its discretion to maintain Directory quality and accuracy.

4. RFP Process and Commission Disclosure

4.1 RFP Receipt and Response

When a Planner submits an RFP that includes your property, you will receive a notification through the Platform. You may choose to respond, decline, or ignore the RFP at your discretion. Failure to respond does not constitute acceptance or any form of obligation.

4.2 Commission Disclosure

Some Planners using the Platform may independently elect to charge a commission on bookings that result from an RFP. Any such commission arrangement is solely a matter between the Planner and the Hotel Supplier. Ventur3 is not a party to, does not determine, and bears no responsibility for any commission arrangement, whether or not it is disclosed within an RFP. Hotel Suppliers are responsible for reviewing any commission terms communicated by a Planner before submitting a proposal.

4.3 No Binding Obligation from Proposal

Submitting a proposal in response to an RFP does not create a binding contract. A binding agreement arises only upon execution of a separate written contract between the Hotel Supplier and the Planner outside of the Platform.

5. Hotel Supplier Obligations

By using the Platform, you agree to:

• Provide and maintain accurate, complete, and current Listing content at all times;
• Respond to RFPs in good faith and in a timely manner;
• Honor any rates, availability, or concessions offered in a submitted proposal unless mutually agreed otherwise in writing with the Planner;
• Not engage in any deceptive, misleading, or fraudulent conduct in connection with any Listing or proposal;
• Comply with all applicable local, national, and international laws and regulations;
• Not upload content that infringes intellectual property rights, contains false information, or violates any third-party rights.

6. Intellectual Property

6.1 Ventur3 Platform and Directory

All technology, software, design, trademarks, trade dress, the Directory, all Listings, and all aggregated content and data on the Platform are the exclusive intellectual property of Ventur3, LLC. Nothing in this Agreement grants Hotel Suppliers any rights in or to the Ventur3 platform, brand, Directory, or technology other than the limited right to access and use the Platform as described herein.

6.2 Hotel Supplier Content

Hotel Suppliers retain ownership of original content they create and submit (e.g., original photographs). However, by submitting such content to the Platform, Hotel Suppliers grant Ventur3 the perpetual, irrevocable license described in Section 2.2. Hotel Suppliers represent and warrant that they have all necessary rights to submit such content and grant such license.

7. Data Privacy and Protection

7.1 Data Collection

Ventur3 collects personal and business data from Hotel Suppliers in connection with account registration, Listing creation, and platform use. This may include contact names, email addresses, phone numbers, property information, and usage data.

7.2 Data Use

Ventur3 uses Hotel Supplier data to operate and improve the Platform, facilitate RFP distribution, communicate with Hotel Suppliers, and for internal analytics. Ventur3 does not sell Hotel Supplier personal data to third parties for marketing purposes.

7.3 Data Sharing with Planners

Hotel Supplier Listing information — including property name, address, contact details, and amenity information — will be visible to Planners using the Platform. This is an inherent function of the Platform and Hotel Suppliers consent to such disclosure by creating a Listing. This disclosure persists as part of the Directory regardless of account status.

7.4 GDPR Compliance

For Hotel Suppliers operating in or servicing guests from the European Economic Area (EEA) or United Kingdom, Ventur3 acknowledges its obligations under the General Data Protection Regulation (GDPR) and UK GDPR where applicable. Hotel Suppliers that provide personal data of EEA or UK individuals to Ventur3 represent that they have obtained all necessary consents and legal bases for such transfer.

7.5 Data Security

Ventur3 implements commercially reasonable technical and organizational measures to protect data against unauthorized access, loss, or disclosure. No method of electronic transmission or storage is completely secure, and Ventur3 cannot guarantee absolute data security.

7.6 Data Rights

Hotel Suppliers may request access to, correction of, or deletion of their personal data by contacting support@ventur3.com. Ventur3 will respond within 30 days and in accordance with applicable law. Note that deletion of personal data does not affect Ventur3's ownership of the Directory or any Listing record.

8. Disclaimers and Limitation of Liability

8.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Ventur3 does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

8.2 No Guarantee of Bookings

Ventur3 does not guarantee that any RFP will result in a booking, that any Planner will be qualified or creditworthy, or that any proposal will be accepted. Ventur3 is a technology platform and is not a party to any transaction between Hotel Suppliers and Planners.

8.3 Limitation of Liability

To the maximum extent permitted by applicable law, Ventur3's total liability to any Hotel Supplier shall not exceed the greater of the amount paid by the Hotel Supplier to Ventur3 in the twelve (12) months preceding the claim or $500. In no event shall Ventur3 be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost bookings.

8.4 Indemnification

You agree to defend, indemnify, and hold harmless Ventur3, LLC and its members, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) content you submit; (c) your breach of this Agreement; or (d) your violation of any applicable law.

9. Termination and Suspension

9.1 Termination by Hotel Supplier

You may request deactivation of your account by contacting support@ventur3.com. Account deactivation does not remove your Listing from the Directory, which remains a Ventur3 platform asset, nor does it relieve you of any obligations arising from proposals submitted or contracts entered into prior to deactivation.

9.2 Termination by Ventur3

Ventur3 reserves the absolute right to suspend, deactivate, or terminate any Hotel Supplier account at any time, with or without notice, for any reason including but not limited to: (a) violation of this Agreement; (b) submission of false or misleading information; (c) conduct deemed harmful to the Platform, other users, or Ventur3; or (d) non-payment of any Paid Features fees.

9.3 Survival

Sections 2, 6, 7, 8, 10, and 11 shall survive any termination or deactivation of a Hotel Supplier's account.

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement shall be governed by the laws of the State of Washington, USA, without regard to conflict of law provisions.

10.2 Dispute Resolution

Disputes shall first be addressed informally by contacting support@ventur3.com. If unresolved within thirty (30) days, either party may initiate binding arbitration under AAA rules, conducted in King County, Washington. The arbitrator's decision shall be final and binding. Either party may seek injunctive relief in a court of competent jurisdiction.

10.3 Class Action Waiver

All disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. General Provisions

11.1 Entire Agreement

This Agreement, together with Ventur3's Privacy Policy and any Paid Features terms, constitutes the entire agreement between you and Ventur3 regarding your use of the Platform as a Hotel Supplier.

11.2 Amendments

Ventur3 reserves the right to modify this Agreement at any time. Material changes will be communicated via email or platform notification at least fourteen (14) days before taking effect. Continued use of the Platform following notice constitutes acceptance of the revised Agreement.

11.3 Severability

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions shall remain in full force.
